1. Acceptance of Terms and Electronic Acceptance
The use of any Fast4u product, service, website, platform, software, application, cloud infrastructure, hosting service, web development service, webmaster service, consulting service, cybersecurity service, artificial intelligence service, managed IT service, technical support service, repair service or related offering constitutes full acceptance of these Terms and Conditions.
Acceptance may be demonstrated by any of the following: electronic signature, handwritten signature, clicking an acceptance button, submitting an order, paying an invoice, requesting support, using a product or service, maintaining an active subscription, accessing a customer portal, or continuing to use Fast4u services after updated terms are published.
2. Scope of Services
Fast4u may provide, depending on the applicable quote, invoice, statement of work or service order, information technology services, computer repair, software installation, web design, web development, webmaster services, domain management, hosting, email services, cloud configuration, cybersecurity consulting, managed IT services, AI-assisted services, automation, digital marketing support, SEO support, consulting and related professional services.
If there is a conflict between these Terms and a written agreement signed by Fast4u, the signed agreement controls only for the specific conflicting provision and only for the specific project or service covered by that signed agreement.
3. Billing, Payment and Taxes
All invoices are payable according to the payment terms stated on the invoice. Unless otherwise stated in writing, fees are due upon receipt.
- Fast4u may require deposits, retainers or milestone payments before work begins or continues.
- Overdue amounts may result in service suspension, access restriction, license deactivation, domain or hosting interruption, collection activity and administrative fees.
- Interest, collection costs, legal fees, chargeback costs and payment processing fees related to unpaid amounts are the customer's responsibility.
- Prices, availability and service features may change at any time unless expressly locked in by a written agreement.
- The customer is responsible for all applicable taxes, duties, levies and governmental charges.
4. No Refunds, Returns and Exchanges
Professional, technical, consulting, development, hosting, cybersecurity, AI, support, maintenance and programming services are deemed consumed once performed or made available.
Except where prohibited by mandatory law, no refunds shall be provided for professional services, consulting, development time, diagnostics, research, travel, configuration, installation, training, digital services, hosting, domain names, software licenses, AI services, cybersecurity services, subscriptions, retainers, custom work or third-party costs.
Returns require prior written authorization. Approved returns may be subject to inspection, shipping costs and a restocking fee of up to twenty-five percent (25%). No returns are accepted for software, licenses, activation keys, digital products, customized products, configured products, opened products, special-order products, domain names or services already performed.
5. Customer Responsibilities
The customer is responsible for providing accurate information, timely approvals, valid credentials, lawful content, required licenses, backups, internal policies and cooperation reasonably required for Fast4u to perform services.
- The customer must maintain independent backups of all data and systems.
- The customer must ensure it has the legal right to provide content, data, images, trademarks, databases and materials to Fast4u.
- The customer must promptly review deliverables and report issues in writing.
- The customer must comply with all applicable laws and third-party terms.
- The customer is responsible for securing its passwords, accounts, devices and users.
6. Acceptable Use Policy (AUP)
The customer shall not use Fast4u services, infrastructure, hosting, email, software, support or systems for unlawful, abusive, deceptive, harmful or high-risk activities.
Prohibited uses include, without limitation:
- Spam, phishing, malware, botnets, credential theft or unauthorized scanning;
- Hosting or distributing illegal, infringing, defamatory, harassing, hateful, exploitative or abusive content;
- Interfering with networks, systems, users or third-party services;
- Attempting to bypass security, rate limits, authentication or access controls;
- Sending unsolicited bulk email or violating anti-spam laws;
- Storing, processing or transmitting data without required authorization;
- Using services for regulated, high-risk or safety-critical purposes without prior written authorization;
- Violating the rights of Fast4u, third parties or end users.
Fast4u may suspend, throttle, remove content, block traffic or terminate services immediately if Fast4u reasonably believes the customer has violated this AUP or created risk to Fast4u, other customers or third parties.
7. Web Development, Webmaster and Digital Services
Web development, webmaster, design, programming, integration, maintenance, SEO, analytics, advertising and automation services are provided on a best-effort professional services basis unless a signed statement of work states otherwise.
- Project timelines are estimates and depend on customer responsiveness, third-party platforms, content availability and scope changes.
- Additional requests, revisions, emergency work, compatibility fixes and new features are billable unless expressly included in writing.
- Fast4u does not guarantee future compatibility with browsers, devices, operating systems, plug-ins, APIs, themes, CMS versions or third-party services.
- Customer approval, publication or use of a deliverable constitutes acceptance of that deliverable.
- Content, images, branding, legal notices, privacy terms and compliance text supplied by the customer remain the customer's responsibility.
8. Hosting, Domains, DNS and Email Services Terms
Hosting, domain, DNS and email services may depend on third-party registrars, data centers, cloud providers, software vendors, network operators and security providers. Fast4u is not responsible for failures, outages, policy changes, suspension, rate limiting, blacklisting or errors caused by third parties.
- Domain registration and renewal are subject to registrar and registry rules.
- Failure to pay renewal fees may result in domain expiration, redemption fees or loss of the domain.
- Email delivery is not guaranteed and may be affected by spam filters, DNS records, reputation, recipient systems and third-party policies.
- Hosting resources may be limited to preserve service stability and security.
- Fast4u may remove malware, disable scripts, suspend accounts or block traffic to protect systems and users.
9. Managed IT Services Agreement (MSA)
Managed IT services may include monitoring, patching, maintenance, endpoint support, remote assistance, user administration, software deployment, security recommendations and vendor coordination, as specified in the applicable service plan or agreement.
Unless expressly included in writing, managed IT services do not include unlimited remediation, hardware replacement, data recovery, after-hours support, on-site support, software development, litigation support, forensic investigations, incident response, regulatory audits or third-party license fees.
The customer remains responsible for internal policies, user conduct, cyber insurance, physical security, business continuity, compliance decisions and approval of recommended security measures.
10. Service Level Agreement (SLA)
Unless a separate written SLA is signed by Fast4u, support response times, uptime targets and resolution estimates are non-binding targets only. Fast4u does not guarantee uninterrupted or error-free service.
- Response time means the time to acknowledge or begin reviewing a request, not the time to resolve it.
- Resolution time depends on complexity, third parties, hardware availability, customer cooperation and root cause.
- Scheduled maintenance, emergency maintenance, third-party outages, force majeure, security events, customer-caused issues and unpaid accounts are excluded from any uptime calculation.
- Service credits, if any, must be expressly stated in a signed SLA and are the customer's sole remedy for qualifying downtime.
11. Artificial Intelligence Services Disclaimer
AI-assisted services, automations, generated content, recommendations, summaries, code, translations, analytics, chatbots and related outputs may be inaccurate, incomplete, biased, outdated or unsuitable for a particular purpose.
- The customer is responsible for human review, approval and legal/compliance validation of AI outputs.
- Fast4u does not guarantee accuracy, originality, non-infringement, confidentiality or fitness of AI-generated outputs.
- AI tools may be provided by third-party vendors subject to their own terms, limitations and data practices.
- AI services must not be used as a substitute for professional legal, medical, financial, safety, engineering or regulatory advice.
12. Cybersecurity Disclaimer
No cybersecurity service, software, configuration, monitoring or recommendation can provide absolute protection. Fast4u does not guarantee that systems, websites, applications, networks, email accounts or devices will be free from intrusion, malware, phishing, ransomware, fraud, data breaches, unauthorized access or cyberattacks.
Cybersecurity services are provided on a risk-reduction basis only. The customer remains responsible for cyber insurance, user training, backup strategy, incident response planning, legal notifications and regulatory compliance.
13. No Guarantee of Results
Fast4u does not guarantee any specific results regarding SEO, search engine rankings, indexing, website traffic, sales, revenue, leads, conversion rates, advertising performance, social media reach, AI performance, automation outcomes, cybersecurity outcomes, uptime, deliverability, reputation, public visibility or commercial performance.
14. Data Backup and Recovery
The customer is solely responsible for maintaining adequate, independent and tested backups of all data, systems, configurations, websites, email, databases and files.
Fast4u does not guarantee data recovery, data integrity, freedom from corruption, backup availability, successful restoration or preservation of any customer data. Any recovery attempt is performed on a best-effort basis and may be billable.
15. Privacy and Data Processing Addendum (GDPR / UK GDPR / PIPEDA)
Where Fast4u processes personal information or personal data on behalf of a customer, the customer remains responsible for determining the lawful basis, purpose, scope, accuracy, retention period and compliance requirements applicable to such data.
Roles
Depending on the service, Fast4u may act as an independent service provider, processor, sub-processor or contractor. The customer is the controller or business responsible for instructions and compliance unless otherwise agreed in writing.
Processing
Fast4u will process personal data only as necessary to provide services, comply with lawful instructions, maintain security, troubleshoot systems, prevent abuse, satisfy legal obligations and protect legitimate business interests.
Security Measures
Fast4u will use commercially reasonable administrative, technical and organizational safeguards appropriate to the nature of the services. No security measure is absolute.
Sub-processors and International Transfers
The customer authorizes Fast4u to use third-party vendors, cloud providers, registrars, hosting providers, payment processors, AI providers, security tools and support platforms as reasonably required to provide services. Data may be processed in Canada, the United States, the European Economic Area, the United Kingdom or other jurisdictions depending on vendor infrastructure.
Customer Obligations
The customer is responsible for privacy notices, consent, data subject requests, records of processing, impact assessments, regulatory notices, breach notification decisions, retention policies and cross-border transfer assessments where required by law.
Regulatory Frameworks
This section is intended to support compliance with applicable privacy laws, including PIPEDA, Quebec privacy laws, GDPR, UK GDPR and similar frameworks where applicable, but does not replace a jurisdiction-specific data processing agreement when one is legally required.
16. DMCA and Copyright Complaints
Fast4u respects intellectual property rights and may remove or disable access to allegedly infringing content in appropriate circumstances.
Copyright complaints should include: identification of the copyrighted work, identification of the allegedly infringing material, contact information, a good-faith statement, a statement made under penalty of perjury that the information is accurate, and a physical or electronic signature of the rights holder or authorized representative.
Fast4u may forward complaints to the customer or relevant hosting provider and may suspend or terminate repeat infringers. The customer is solely responsible for content hosted, published, transmitted or supplied by the customer.
17. Intellectual Property
All code, scripts, documentation, designs, templates, systems, processes, methodologies, configurations, libraries, frameworks, tools, know-how and development assets created or used by Fast4u remain the property of Fast4u until full payment is received, unless otherwise agreed in writing.
Upon full payment, the customer receives the rights expressly stated in the applicable quote, invoice or agreement. Fast4u retains ownership of pre-existing materials, reusable components, internal tools, general knowledge, templates and non-customer-specific methodologies.
18. Third-Party Services
Services may integrate with or depend on third-party products, APIs, platforms, hosting providers, registrars, payment processors, software vendors, advertising networks, AI vendors, security providers and open-source components.
Fast4u is not responsible for third-party pricing, outages, security incidents, feature changes, API changes, discontinuation, license changes, policy enforcement, account suspension or data practices.
19. Confidentiality
Each party shall use reasonable efforts to protect confidential information received from the other party. Confidential information does not include information that is public, independently developed, lawfully received from another source, already known without restriction, or required to be disclosed by law.
Fast4u may disclose customer information to employees, contractors, vendors and advisors as reasonably necessary to provide services, maintain security, comply with law or protect Fast4u's rights.
20. Limited Warranties and Disclaimers
Except for warranties expressly stated in writing by Fast4u, all services and products are provided "as is" and "as available" to the fullest extent permitted by law.
Fast4u disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, data preservation and security guarantees, to the maximum extent permitted by applicable law.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Fast4u, its officers, directors, employees, contractors, affiliates, partners, suppliers and licensors shall not be liable for loss of profits, loss of revenue, loss of customers, loss of data, loss of goodwill, business interruption, replacement costs, indirect damages, incidental damages, special damages, consequential damages, exemplary damages or punitive damages.
The limitations apply regardless of the legal theory, including contract, tort, negligence, strict liability, statutory liability or otherwise, even if Fast4u has been advised of the possibility of such damages.
22. Customer Indemnification
The customer agrees to defend, indemnify and hold harmless Fast4u, its officers, directors, employees, contractors, affiliates, partners, suppliers and licensors from and against any claims, actions, investigations, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising from or related to:
- The customer's use of services;
- Customer-provided content, data, instructions or materials;
- Violation of these Terms;
- Violation of law or third-party rights;
- Intellectual property infringement;
- Privacy, data protection or spam law violations;
- Security incidents caused by customer systems, users, credentials or instructions;
- Disputes between the customer and its own clients, users, employees or vendors.
23. Mandatory Arbitration Before Lawsuit
To the fullest extent permitted by law, any dispute, controversy or claim arising out of or relating to Fast4u products, services, invoices, websites, agreements or these Terms must first be submitted to confidential and binding arbitration before any lawsuit, court action or public proceeding may be initiated.
- Arbitration shall be conducted in English or French.
- Arbitration shall take place in the Province of Quebec, Canada, unless Fast4u agrees otherwise in writing.
- The arbitrator shall be independent and qualified in commercial disputes.
- The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
- Each party shall bear its own costs unless the arbitrator decides otherwise or applicable law requires otherwise.
24. Class Action Waiver
To the maximum extent permitted by applicable law, the customer waives any right to participate in any class action, class arbitration, collective action, representative proceeding, consolidated proceeding or private attorney general action against Fast4u.
All disputes must be brought solely on an individual basis and not on behalf of any class or group.
25. 90-Day Claim Limitation Period
Where a mandatory law does not allow a 90-day limitation period, the shortest limitation period permitted by applicable law shall apply.
26. Worldwide Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict-of-law rules.
The customer irrevocably accepts the exclusive jurisdiction of Quebec, Canada, regardless of the customer's country, state, province or territory of residence. These Terms apply worldwide to all customers and users to the maximum extent permitted by applicable law.
Where mandatory consumer protection laws, privacy laws or other non-excludable legal rights apply, these Terms shall be interpreted to preserve their intent and limit Fast4u's liability to the maximum extent permitted by law.
27. Force Majeure
Fast4u shall not be liable for any delay, interruption, failure or inability to perform caused by events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, pandemics, utility failures, Internet outages, cyberattacks, supplier failures, hardware shortages, governmental actions, platform outages or third-party service failures.
28. Suspension and Termination
Fast4u may suspend, restrict or terminate services immediately if the customer fails to pay, violates these Terms, creates security or legal risk, abuses systems, violates the AUP, misuses services, or if a third-party provider suspends or terminates related services.
Upon termination, amounts owed become immediately due. Fast4u may delete, archive or retain data according to its operational practices, legal obligations and vendor policies. The customer is responsible for exporting data before termination.
29. Modifications
Fast4u may modify these Terms at any time. Updated Terms may be posted on the Fast4u website or provided by other reasonable means. Continued use of services after publication or notice constitutes acceptance of the updated Terms.
30. General Provisions
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver. Failure by Fast4u to enforce any provision is not a waiver of that provision.
Assignment. The customer may not assign these Terms without Fast4u's prior written consent. Fast4u may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets or business transfer.
Entire agreement. These Terms, together with applicable quotes, invoices, service orders, statements of work and signed agreements, constitute the entire agreement between Fast4u and the customer.
Language. The parties may use English or French. In case of inconsistency between language versions, the version designated by Fast4u for the applicable transaction controls, unless mandatory law requires otherwise.
